THIS AGREEMENT OF CONSOLIDATION, dated June 25, 2018, by and between
RADIANT ELECTRIC COOPERATIVE, INC., ("Radiant Electric"), Kansas corporation, in
Fredonia, Kansas, and LYON-COFFEY ELECTRIC COOPERATIVE, INC., ("Lyon-Coffey") a
Kansas corporation, in Lebo, Kansas, by and through the Board of Trustees of each corporation,
who deem the consolidation to be advisable and in the best interest of the two electric
cooperatives, and the respective members thereof.
The Articles of Consolidation are entered into by and between RADIANT ELECTRIC
COOPERATIVE, INC. ("Radiant Electric"), a Kansas electric cooperative corporation, in
Fredonia, Kansas, and LYON-COFFEY ELECTRIC COOPERATIVE, INC. ("Lyon-Coffey"), a
Kansas electric cooperative corporation, in Lebo, Kansas, pursuant to the provisions of the Electric
Cooperative Act, KS.A 17-4601, et. seq., and specifically KS.A 17-4617.
• Provide forecasted cost savings of almost $9 million over a 10 year period.
• Delay the potential for rate increases in the next 1 to 3 years.
• Ensure best-in-class services to their combined 12,793 meters/customer accounts.
• Put the two cooperatives in a stronger financial position for the long term.
Holding Off Rate Increases Goal of
Proposed Electric Cooperative’s Consolidation
FREDONIA, KAN./LEBO, KAN. – May 29, 2018 – Two Kansas electric cooperatives serving customer/members in east central and a southeast Kansas announced today the first step in a proposed consolidation plan. The Board of Directors for Radiant Electric Cooperative (REC) in Fredonia, Kansas, and the Board of Directors for Lyon-Coffey Electric Cooperative (LCEC) in Lebo, Kansas, have approved a consolidation plan for a vote by each cooperative’s customer/members in November 2018.
The proposed consolidation plan is being reviewed today during special meetings with REC and LCEC employees and customer/members.
